Terms of sale

Purpose
These terms govern the consulting, design, development and operations services provided by LabbTech (Maxence Labbé) to its business clients.
Quote and order
Every engagement is covered by a detailed quote. The order becomes firm once the signed quote and, where applicable, the deposit are received. Quotes are valid for 30 days unless stated otherwise.
Pricing and payment
Prices are stated in euros. Unless otherwise agreed, a deposit is due at kick-off with the balance paid per the agreed schedule. Invoices are payable within 30 days; late payment incurs the penalties provided by law.
Timelines
Timelines are indicative and depend on the client providing the required materials. LabbTech commits to flagging any risk of slippage as early as possible.
Client obligations
The client agrees to provide the information and access needed to deliver the service, and to appoint a decision-making point of contact.
Deliverables and intellectual property
Upon full payment, the client owns the deliverables produced specifically for them. Code is delivered documented and handed over with no lock-in: the client can take over maintenance at any time.
Liability
LabbTech has a best-efforts obligation. Its liability is limited to the amount of the relevant engagement and does not cover indirect damages.
Confidentiality
Each party undertakes to keep confidential the information exchanged during the engagement.
Governing law and disputes
These terms are subject to French law. In the event of a dispute, the parties will seek an amicable solution before any legal action; failing that, the competent French courts will have jurisdiction.
